Terms of Service

1. Definitions

• User: Any person or entity who accesses or uses the Services.
• Account: The user account you create to use the Services.
• User Content: Any content, data, text, URLs or materials uploaded or submitted by you for analysis or other uses via our Services.
• Free Trial: Any limited trial period where you can use the Services without charge, if offered.
• Fees: The payment(s) you owe for use of the Service under your subscription plan.

2. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use the Services. We may update these Terms from time to time; updated versions will be posted at geo-sync.io/terms, and the “Last Updated” date will be revised. Continued use after such changes constitutes your acceptance of the new Terms.

3. Description of Service

GEOsync provides tools to analyze, sync, or otherwise process user-submitted content, including website URLs, text, and related data. Features include analysis, reporting, and other functions as described on our Sites. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. Account Terms

• You must provide accurate information when creating an Account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
• You may not share your Account or allow unauthorized access.
• If you suspect unauthorized use, you must notify us immediately.

5. Free Trial / Subscription / Payment

• If we offer a Free Trial, its duration and features will be as described on the Sites. After the Trial ends, you will need to subscribe to a paid plan to continue using certain features.
• Payment terms, pricing, billing cycle, and renewal information will be set forth on the Sites.
• Fees are non-refundable unless otherwise stated. Any refunds will be prorated as required by applicable law.

6. Intellectual Property & User Content

All intellectual property rights in the Service (code, design, branding, software, documentation) are owned by GEOsync or its licensors. You retain all rights in the User Content you submit. However, by submitting User Content, you grant GEOsync a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content as needed to provide, maintain, and improve the Service.

7. Prohibited Uses

• Use the Service for illegal activities, infringement, or violating third-party rights.
• Reverse engineer, decompile, or otherwise attempt to derive source code of the Service.
• Spam, abuse, harass, or upload malicious code.
• Interfere with or disrupt the operation of the Service.
• Use the Service in violation of applicable laws or regulations.

8. Warranties & Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind, whether express, implied, statutory, or otherwise. GEOsync expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and performance. GEOsync does not guarantee that the Service will be uninterrupted, error-free, or secure, or that results obtained from use of the Service will be accurate.

9. Indemnification

You agree to indemnify, defend, and hold harmless GEOsync, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use or misuse of the Service or User Content in violation of these Terms; any violation of applicable law by you; any third-party claim based on your User Content; or any breach of your representations or warranties under these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will GEOsync be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to these Terms or your use of the Service. GEOsync’s aggregate liability under these Terms shall not exceed the total Fees paid by you in the twelve (12) months preceding the event giving rise to the liability.

11. Term, Termination & Suspension

These Terms stay in effect until terminated by either you or us. You may terminate your Account at any time by stopping use. GEOsync may suspend or terminate your access for breach, misuse, or illegal behavior. After termination, sections that by their nature should survive (Intellectual Property, Limitation of Liability, Indemnification, etc.) will continue in effect.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to personal jurisdiction and venue in those courts.

13. Miscellaneous

• Severability: If any provision of these Terms is found invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. GEOsync may assign these Terms in connection with a merger, acquisition, or sale.
• Notices: Notices will be given via email or via postings on the Sites, as appropriate.
• Entire Agreement: These Terms constitute the entire agreement between you and GEOsync regarding the Service and supersede prior agreements.
• Force Majeure: Neither party shall be liable for delays or failures due to causes beyond its reasonable control (e.g., natural disasters, acts of government).
